1. Introduction & Acceptance

Welcome to Pickaxe Mining Inc. ("Pickaxe," "Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Pickaxe Mining Inc. governing your access to and use of:

• Our AI-powered assistant and educational tools
• Mining equipment sales and related products
• Hosting, deployment, and operational services
• Dashboard, analytics, and account features
• Any other services, content, or products we provide (collectively, the "Services")

By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the Site and Services.

2. Eligibility

To use our Services, you must:

• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Reside in a jurisdiction where cryptocurrency mining is legal
• Comply with all local, state, federal, and international laws

3. Services Overview

Pickaxe provides the following Services:

a. Equipment Sales

We facilitate the purchase of cryptocurrency mining hardware (ASICs, GPUs, accessories). All sales are subject to product availability, pricing terms, and additional purchase agreements.

b. Hosting Services

We offer colocation and managed hosting for mining equipment, including facility space, electricity, cooling, monitoring, and maintenance. Hosting terms are governed by separate Hosting Service Agreements.

c. Educational Tools & AI Assistant

We provide educational resources, AI-powered assistance, market data, network statistics, and analytical tools. These are provided for informational purposes only and do not constitute financial or investment advice.

d. Dashboard & Analytics

We may offer dashboard features for monitoring mining operations, tracking earnings, and analyzing performance metrics (subject to availability).

4. Account Registration & Security

a. Account Creation

Certain Services require account registration. You agree to:

• Provide accurate, current, and complete information
• Keep your account information updated
• Maintain the confidentiality of your login credentials
• Not share your account with others
• Notify us immediately of any unauthorized access

b. Account Responsibility

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

5. Purchases, Payments & Refunds

a. Equipment Purchases

When purchasing equipment:

• Pricing: All prices are in USD and subject to change without notice
• Payment: Payment must be received before order fulfillment
• Availability: Products are subject to availability; we may cancel orders if unavailable
• Shipping: Shipping costs, delivery times, and risk of loss are specified at checkout
• Title transfer: Title and risk pass to you upon delivery or deployment

b. Hosting Services

Hosting services are governed by separate agreements, which may include:

• Minimum commitment periods (e.g., 6-month, 12-month terms)
• Monthly hosting fees based on power consumption
• Early termination fees
• Service level agreements (SLAs) for uptime and support

c. Refunds & Returns

Refund and return policies vary by product and service:

• New equipment: Returns accepted within 14 days of delivery if unopened and unused (restocking fee may apply)
• Used equipment: All sales are final unless equipment is defective
• Hosting services: Refunds subject to early termination provisions in Hosting Agreement
• Digital services: Generally non-refundable once access is granted

d. Payment Processing

Payments are processed by third-party providers. You authorize us to charge your payment method for all fees and purchases. We are not responsible for payment processor errors or issues.

6. Intellectual Property

a. Our Content

All content on the Site—including text, graphics, logos, images, videos, software, data compilations, AI models, and the Site's overall "look and feel"—is the property of Pickaxe Mining Inc. or its licensors and is protected by U.S. and international intellectual property laws.

b. Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site and Services for personal or business purposes. You may not:

• Copy, reproduce, modify, distribute, or create derivative works
• Reverse engineer, decompile, or disassemble any software
• Remove or alter any copyright, trademark, or proprietary notices
• Use our content for commercial purposes without written consent

c. User-Generated Content

If you submit content to the Site (e.g., questions to our AI assistant, feedback, reviews), you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content for our business purposes.

7. Prohibited Conduct

You agree not to:

• Violate laws: Use the Services for any illegal purpose or in violation of any laws
• Infringe rights: Violate intellectual property, privacy, or other rights of others
• Harm others: Harass, threaten, defame, or harm others

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Mining-Specific Terms

a. Equipment Ownership

When you purchase equipment from Pickaxe, you own the equipment. If you use our hosting services, we manage operations, but you retain ownership, control over pool configurations, and all mining rewards.

b. Profitability & Performance

Mining profitability depends on numerous factors outside our control, including:

• Network difficulty and hashrate
• Cryptocurrency prices
• Mining pool performance
• Equipment efficiency and uptime

We make no guarantees regarding profitability, earnings, ROI, or investment returns. All profitability estimates are for informational purposes only and should not be relied upon as financial advice.

c. Maintenance & Downtime

While we strive to maintain high uptime, mining operations may experience downtime due to maintenance, equipment failure, facility issues, or force majeure events. We are not liable for lost mining rewards during downtime, except as specified in Hosting Service Agreements.

d. Electricity & Power Costs

Hosting fees include electricity costs based on agreed-upon rates. If electricity costs increase significantly, we reserve the right to adjust hosting fees with 30 days' notice.

9. Warranties & Disclaimers

a. Equipment Warranties

Equipment is sold with manufacturer warranties (if applicable). We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

b. Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free operation
• Security of data transmission
• Results or outcomes from using the Services

c. AI Assistant Disclaimer

Our AI assistant provides general information and educational content. It does not provide financial, investment, tax, or legal advice. Always consult qualified professionals for advice specific to your situation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICKAXE MINING INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Equipment downtime or lost mining rewards
• Cryptocurrency price fluctuations or market losses
• Errors, omissions, or inaccuracies in content
• Unauthorized access to or alteration of your data
• Third-party conduct or content

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pickaxe Mining Inc. and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any laws or rights of others
• Your mining activities and operations

12. Term & Termination

a. Term

These Terms remain in effect while you use the Services. Specific Services may have additional term commitments (e.g., hosting agreements).

b. Termination by You

You may terminate your account at any time by contacting us. You remain liable for all outstanding fees and obligations.

c. Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Conduct that harms or may harm Pickaxe or others

d. Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (e.g., warranties, liability limitations, indemnification) shall remain in effect.

13. Dispute Resolution & Arbitration

a. Informal Resolution

Before filing a claim, you agree to contact us at legal@pickaxe.io to attempt to resolve the dispute informally.

b. Binding Arbitration

If informal resolution fails, you agree that any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in [jurisdiction], and judgment on the award may be entered in any court of competent jurisdiction.

c. Class Action Waiver
