Partner Program Terms & Conditions

1. Program Overview

The Pickaxe Partner Program ("Program") enables approved partners ("Partners") to earn commissions by referring customers to Pickaxe for the purchase of cryptocurrency mining hardware and related services. By participating in the Program, you agree to these Terms and Conditions ("Terms").

2. Eligibility & Application

Participation in the Program is by application only. Pickaxe reserves the right to approve or reject any application at its sole discretion. Applicants must be at least 18 years of age and legally able to enter into binding agreements. Applicants must provide accurate and complete information during the application process. Pickaxe may request additional documentation to verify identity or business operations.

3. Commission Structure

Partners earn commission on qualifying hardware sales referred through their unique referral link. Commission rates are tiered based on cumulative referred sales volume: - Tier 1 (Partner): 5% commission on all referred sales ($0 - $74,999 cumulative volume) - Tier 2 (Pro Partner): 7.5% commission on all referred sales ($75,000 - $299,999 cumulative volume) - Tier 3 (Elite Partner): 10% commission on all referred sales ($300,000+ cumulative volume) Tier upgrades are automatic and based on total lifetime referred sales volume. Commission is calculated on the hardware sale price excluding taxes, shipping, and hosting fees. Commission rates apply prospectively from the date of tier upgrade.

4. Referral Attribution & Cookie Window

Referrals are tracked via unique referral links assigned to each Partner. Attribution follows a last-click model with a 30-day cookie window. If a customer clicks your referral link and completes a purchase within 30 days, the sale is attributed to you. If the customer clicks another partner's link before purchasing, attribution transfers to the most recent referral source. Pickaxe is not responsible for lost attribution due to browser cookie blocking, VPN usage, or customer actions.

5. Probationary Period

All new Partners are subject to a 60-day probationary period beginning from the date of approval. During the probationary period, Partners are eligible for standard net-30 payouts only. Express payout options (24-hour and 3-day) are available only after the probationary period has ended. Pickaxe reserves the right to extend the probationary period if concerns about compliance or quality arise.

6. Payout Schedule & Express Options

Standard payouts are processed on a net-30 basis with no fee. After the 60-day probationary period, Partners may elect accelerated payout options: - 3-Day Express: 0.75% processing fee deducted from the payout amount - 24-Hour Express: 1.98% processing fee deducted from the payout amount Minimum payout threshold is $100. Payouts below this threshold will be rolled over to the next payout cycle. Payout methods include wire transfer, ACH, or cryptocurrency (subject to availability). Pickaxe reserves the right to withhold or delay payouts pending verification of referred transactions.

7. Self-Referral Policy

Partners may earn commission on their own purchases ("self-referrals") subject to the following conditions: - Partners must have referred at least 2 unique customers whose orders have been completed before self-referral commissions are earned - Self-referrals are flagged and tracked separately in the partner dashboard - Pickaxe monitors self-referral volume relative to total referred volume. Patterns indicating abuse (e.g., the majority of referred volume being self-purchases) may result in review, suspension, or termination Partners may not create multiple accounts, use fictitious customer information, or otherwise circumvent the self-referral policy. Billing address matching is used as one indicator of self-referral transactions.

8. Prohibited Activities

Partners must not engage in the following activities: - Spam, unsolicited messaging, or bulk email campaigns promoting referral links - Misleading, deceptive, or false claims about Pickaxe products, pricing, or services - Bidding on Pickaxe brand terms (including "Pickaxe," "Pickaxe mining," or variations) in paid search advertising - Misrepresenting the nature of the relationship with Pickaxe (e.g., claiming to be an employee or official representative) - Using the referral link in any context that violates applicable laws or regulations - Incentivizing clicks or purchases through undisclosed kickbacks, rebates, or unauthorized discounts Violation of any prohibited activity may result in immediate termination and forfeiture of unpaid commissions.

9. Intellectual Property

Pickaxe grants Partners a limited, non-exclusive, revocable license to use Pickaxe brand assets solely for the purpose of promoting products through the Program. Partners may not modify, alter, or create derivative works from Pickaxe brand assets without prior written approval. All intellectual property rights in Pickaxe products, services, and brand assets remain the exclusive property of Pickaxe.

10. Termination & Clawback

Either party may terminate participation in the Program at any time with written notice. Upon termination, all pending commissions that have been properly earned and verified will be paid out within 60 days. Pickaxe reserves the right to claw back commissions in the event of order cancellations, refunds, chargebacks, or fraud within 90 days of the original transaction. If a Partner is terminated for cause (violation of these Terms), Pickaxe may forfeit any unpaid commission balance.

11. Limitation of Liability

Pickaxe is not liable for any indirect, incidental, special, or consequential damages arising from participation in the Program. Total liability shall not exceed the total commissions paid to the Partner in the 12 months preceding the claim. The Program is provided "as is" without warranties of any kind, express or implied.

12. Modifications

Pickaxe reserves the right to modify these Terms, commission rates, tier thresholds, payout schedules, and any other aspect of the Program at any time. Partners will be notified of material changes via email at least 30 days in advance. Continued participation in the Program after the effective date of changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision. The venue of any action shall be in the Superior Court, Placer County, California. Any disputes arising from these Terms or the Program shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
